These terms govern the sale and supply of goods by Import Supplies Ltd (“we”, “us”, “our”) registered in England & Wales under company number 17104227, with registered office at 128 City Road, London EC1V 2NX, to business customers (“you”, “your”).
We do not sell to consumers. Placing an order with us is a confirmation that you are purchasing in the course of business for resale or business use.
1. Definitions
- Goods: the products specified in the order confirmation.
- Order Confirmation: the written confirmation we issue listing goods, prices, best-before windows, delivery terms and payment instructions.
- Working Day: Monday to Friday, excluding bank holidays in England.
2. Account & eligibility
We supply trade buyers only. You confirm that you are a UK-registered business or charity and that you are authorised to place orders on behalf of that organisation. We may require verification of trading status (Companies House registration, charity registration, or evidence of trade) before opening an account.
3. Quotes & orders
- Stock list pricing is indicative and subject to availability.
- A binding agreement is formed when we issue an Order Confirmation in response to your order.
- You should check the Order Confirmation carefully and notify us within 24 hours of receipt of any discrepancy.
4. Prices, VAT & payment
- All prices are quoted ex VAT in pounds sterling.
- UK output VAT is added on UK invoices at the applicable rate.
- First orders are supplied on a pro-forma basis: invoice issued, payment due before despatch.
- Credit terms are available by separate written agreement and are subject to a satisfactory credit check.
- Where credit terms apply, payment is due in cleared funds by the date stated on the invoice. We may charge interest on overdue accounts under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Best-before dates
Best-before windows are stated for every line on the Order Confirmation. By accepting the Order Confirmation, you accept the best-before windows stated. We will never knowingly despatch product past its use-by date.
6. Delivery, risk & title
- Delivery is on a kerbside, ground-floor basis via pallet network unless otherwise agreed.
- Risk in the goods passes to you on delivery (or, where collection has been arranged, on loading onto your vehicle).
- Title in the goods remains with us until we have received payment in cleared funds for all sums owed by you.
- Delivery dates are indicative; we are not liable for delays caused by pallet network or carrier.
7. Inspection, shortages & damages
You should inspect goods on receipt. Damages, shortages or mis-picks must be notified to us within 24 hours of delivery, in writing or by phone, with photographic evidence where applicable. See our returns & claims policy for the process.
8. Returns
Goods supplied correctly are not returnable for change of mind. Where a return is agreed (for example, mis-picked stock), goods must be returned in original packaging and condition. We do not accept returns of short-dated stock unless the BBE window on receipt was shorter than the window stated on the Order Confirmation.
9. Warranties & liability
- We warrant that goods supplied meet the description in the Order Confirmation and comply with applicable UK food information and product safety law at the time of supply.
- Subject to the exclusions below, our total liability for any claim arising out of an order is limited to the price you paid for the goods to which the claim relates.
- Nothing in these terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be limited or excluded.
- We are not liable for indirect, consequential or pure economic loss, including loss of profit, loss of goodwill, or business interruption.
10. Force majeure
We are not liable for failure or delay in performance caused by events beyond our reasonable control, including but not limited to import disruption, supply-chain failure, carrier action, severe weather, or government restriction.
11. Compliance
You confirm that you will handle, store and sell goods in compliance with applicable UK law, including food safety, labelling and trading standards. You will not represent goods to your customers in a way that is misleading.
12. Data protection
We process information about you and your business in accordance with our privacy policy.
13. Governing law
These terms and any contract formed under them are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
14. Variation
We may update these terms from time to time. The version in force at the time an Order Confirmation is issued governs that order.
